　　兹有甲乙双方就某店面合作开店一事，经友好协商签订如下合同：

　　乙方(以下称股东)：

　　一、股东享有以下权利：

　　1、出席股东会，按出资源比率行使表决权。

　　2、每月30日按股权比例计算上月红利。(元月份除外)

　　3、可查阅股东会议记录和公司财务报告。

　　4、按股权比例分取酒店清算后可分配的资产。

　　5、法律法规所规定的其它权利。

　　6、甲乙双方在店内消费总额按8折计算，重大节日除外(节日当天按9折计算)签单不得超过3000元。

　　二、股东的义务：

　　1、为了使酒店良好的运营，各股东应遵守酒店整体运营策划安排，各尽其职，为酒店创造更好的效益。

　　2、按时足额缴纳应缴的追加投资金，按股权分配。

　　3、经营期间若出现盈亏，按股权比率以现金支付方式分担。

　　4、各股东对酒店承担的责任和义务是相同的，但必须听从甲方的统一安排和调动。

　　5、保守酒店内部经营方式及营运机密。

　　6、遵守法律法规和酒店规章制度。

　　三、组织管理：

　　1、酒店最高权利为股东会，股东会有全体股东组成，为更好的经营管理好本酒店，聘请甲方经营管理本酒店。

　　2、乙方不得直接参与酒店管理及运营，若有建议和异议可通过股东会提出，全体股东商议后敲定，甲方负责传达落实各管理负责人调整纠正。

　　3、乙方不得以任何方式及其行为妨碍店内正常运营，若造成损失，自行以现金支付方式承担，否则甲方有权无偿要求乙方退出股权。

　　4、此股金为原始股，入股后这股，不得抽回股金，若乙方转让股权需通过甲方签字同意，否则甲方视为乙方自动无偿放弃股权，甲方有权无偿收回，并终止乙方参与分红。

　　5、乙方如不听从店内整体运营和策划安排，甲方有权要求乙方退股(并赔偿损失)。

　　四、自年月承担，与乙方无关。

　　五、本协议经甲乙双方签字后生效，各执一份，具有同等的法律效力。

　　审查合伙人的资格，是签订合伙协议最重要的方面。因合伙企业具有较强的人合性，所以合伙人一般都是彼此之间比较熟悉、信任的人。但理智的选择合伙人不单纯是熟悉、信任，还要看其有无一定的物质实力或软实力。普通合伙企业的合伙人承担的是无限连带责任，一旦企业债务不能偿还时，有实力偿还的合伙人就有被强制偿还企业全部债务的风险，如果其他合伙人没有实力，不应由其承担部分则很难追偿。
