　　第四十条合营各方如一致认为终止合营符合各方最大利益时，可提前终止合营。

　　合营公司提前终止合营，需经合营各方协商同意并由董事会召开全体会议作出决定，报审批机关批准。

　　第四十一条发生下列情况之一，任一合营方有权依法申请终止合营。(注：企业可根据实际情况依法作出规定。)

　　第四十二条合营期满或提前终止合营时，合营公司董事会应组织成立清算委员会，对合营公司进行清算。

　　第四十三条清算委员会的任务是对合营公司的财产、债权、债务进行全面清查，编制资产负债表和财产目录，制定清算方案，提请董事会会议通过后执行。

　　第四十四条清算期间，清算委员会代表合营公司起诉和应诉。

　　第四十五条合营公司清偿债务后的剩余财产按照合营各方的出资比例进行分配。

　　第四十六条清算结束后，合营公司应向原审批机构提出报告，并向原登记机构办理注销登记手续，缴销营业执照，同时对外公告。

　　第四十七条合营公司解散后，其各项账册及文件应当由原中国合营者保存。

　　第十二章争议的解决

　　第四十八条本合同的订立、效力、解释、执行及争议的解决，均适用中国的法律。合营各方如在解释或履行合营公司合同时发生争议，应尽量通过友好协商或调解解决。如经过协商或调解无效，则提请仲裁(或司法解决)。合营各方同意在仲裁委员会仲裁，按该会的仲裁程序规则进行。

　　第四十九条在解决争议期间，除争议事项外，合营各方应继续履行合营合同规定的其他各项条款。

　　第十三章附则

　　第五十条本合同的修改需经合营各方同意并签署书面协议，且由合营公司董事会作出决议。

　　第五十一条本合同经审批机关批准后生效，其修改时同。

　　第五十二条本合同用中文和文书写，两种文本具有同等效力。

　　第五十三条本合同规定若与中国有关法律、法规、规章和规定不符的，均以后者为准。
